NON-DISCLOSURE AGREEMENT (NDA)
    This Non-Disclosure Agreement ("Agreement") is made on [Date], by and between:
    1. WeeBe.Org ("Disclosing Party"), with its principal place of business at Edinburgh, UK; and
    2. [Receiving Party Name] ("Receiving Party"), with its principal place of business/residence at [Address].
    1. Purpose
    The Disclosing Party intends to share certain confidential and proprietary information with the Receiving Party for the purpose of exploring, developing, or collaborating on WeeBe.Org’s platform and related services ("Purpose").
    2. Definition of Confidential Information
    "Confidential Information" means all non-public, proprietary, or sensitive information disclosed by the Disclosing Party, including but not limited to:
    * Business strategies, financial data, operational plans, and market insights. * Product designs, software architecture, source code, and technical documentation. * User data, platform algorithms, safety policies, and security measures. * Any other information identified as confidential at the time of disclosure.
    Confidential Information does not include information that:
    * Becomes publicly available through no fault of the Receiving Party. * Was lawfully obtained from a third party without confidentiality obligations. * Was independently developed without reference to the Confidential Information.
    3. Obligations of the Receiving Party
    The Receiving Party agrees to:
    * Maintain confidentiality and not disclose Confidential Information to any third party. * Use the Confidential Information solely for the Purpose. * Take reasonable precautions to prevent unauthorised disclosure. * Notify the Disclosing Party immediately if a breach occurs.
    4. Permitted Disclosures
    The Receiving Party may disclose Confidential Information to its employees, contractors, or advisors only if:
    * They need to know the information for the Purpose. * They are bound by confidentiality obligations at least as restrictive as this Agreement.
    5. Return or Destruction of Information
    Upon written request from the Disclosing Party, the Receiving Party must:
    * Return or destroy all Confidential Information, including copies or derivatives. * Certify in writing that all Confidential Information has been deleted or returned.
    6. Intellectual Property Rights
    All Confidential Information remains the sole property of the Disclosing Party. Nothing in this Agreement grants the Receiving Party any rights to patents, trademarks, copyrights, or trade secrets belonging to the Disclosing Party.
    7. Term & Termination
    * This Agreement is effective as of the date signed and remains in effect for two (2) years from the last disclosure. * Confidentiality obligations will survive termination for five (5) years beyond the termination date.
    8. Legal & Compliance
    * This Agreement is governed by the laws of England and Wales. * Any disputes shall be resolved through arbitration in England and Wales. * The Disclosing Party is entitled to seek injunctive relief for breaches.
    9. Miscellaneous
    * This Agreement does not create any employment, partnership, or joint venture relationship. * No waiver of rights under this Agreement shall be valid unless in writing. * Amendments must be in writing and signed by both parties.
